Inayat Terms and Conditions of Use

Overview

These terms and conditions of use (“Terms”) form a legally binding agreement (“Agreement”) between You and us, QuickCuts Video Private Limited, a company incorporated under the laws of India, under the provisions of the Companies Act 2013, having its registered office at 3/8, Second Floor, Asaf Ali Road, Darya Ganj, Central Delhi, New Delhi, Delhi, India, 110002 (“Our”, “We”, “Us”, “QuickCuts”), a private limited company incorporated under the laws of India. These Terms apply to all persons who access and use the “Inayat” app (“Inayat App”) (“You”, “Your”, “User”) and are therefore required to read, understand, and accept the Terms.

Acceptance of the Terms and Usage of the Inayat App

By accessing, and/or using the Inayat App in any manner, including but not limited to visiting or browsing the Inayat App, You agree to be bound by all of the terms and conditions contained in these Terms and all other rules and/or policies that may be published from time to time on the Inayat App by Us, including the Privacy Policy which is incorporated herein by reference and is available on the Inayat App, which may be updated by Us from time to time at Our sole discretion. If You do not agree with the Terms, please do not use the Inayat App. After downloading the Inayat App, You shall be required to enter Your mobile number, Your clear and identifiable photograph, and Your name which will be authenticated by a One Time Password (OTP) verification process. The information and photograph provided by you will be used for identity verification, fraud prevention, and account authentication purposes. Our Inayat App and Content is intended for Users who have attained the age of majority in their jurisdiction. If You use the Inayat App, it shall be assumed that You meet the age of majority. You are responsible for maintaining the confidentiality of Your account and for all activities under Your account.

Access to and Use of Content

Upon successful verification, You will have access to Inayat App’s extensive library of content, including but not limited to images, videos, graphics, templates, fonts, and other design assets (collectively, “Content”). You may use the Content by incorporating Your name, photograph, or other identifying elements to create personalized digital or printed materials, including but not limited to greeting cards, invitation cards, posters, banners, advertisements, promotional materials, branding assets, marketing collateral, public relations (PR) materials, entertainment content, political campaign materials, or any other creative work (“Creative(s)”).

License and Subscription Terms

Subject to Your compliance with these Terms, We hereby grant You a limited, non-exclusive, non-transferable and revokable license to use the Content available and Creatives made on the Inayat App solely for personal use.

Discounted Trial

We may offer new users a limited-time Discounted trial of Our subscription-based services (“Discounted Trial”). The duration of the Discounted Trial will be specified at the time of availing Discounted Trial. To activate the Discounted Trial, You must enter valid payment details (Debit Card/Credit Card/UPI). Unless cancelled before the trial period ends, Your Discounted Trial will automatically convert into a paid subscription, and the applicable subscription fee will be charged to Your selected payment method. Discounted Trials are available only once per user unless stated otherwise. We reserve the right to revoke or modify Discounted Trial offers at Our sole discretion.

Subscription Plans & Billing

After the Trial period (if applicable), or upon selecting a paid plan, You will be enrolled in a subscription-based model with recurring payments. We offer various subscription plans, including but not limited to monthly and yearly plans, which provide unlimited access to the Content and Creatives. The applicable subscription fee for each plan will be displayed to You at the time of purchase. The subscription fee will be charged automatically on a recurring basis (e.g., monthly or yearly) until cancelled by You. By subscribing, You authorize Us to charge the applicable fee using Your chosen payment method. If a payment fails, We may suspend or terminate Your access.

Discounts & Promotional Offers

We may, at Our sole discretion, offer discounts, promotional pricing, or limited-time offers on subscription plans, either on special occasions or as part of marketing campaigns. The terms, availability, and duration of such discounts will be determined by Us and may be subject to change without prior notice. Discounts cannot be clubbed with other offers unless explicitly stated.

Cancellation Policy

You may cancel your subscription at any time by navigating to the “Profile” section on the Inayat App and then clicking on “Premier Member Settings” option, which will lead You to the “Cancel Membership” option. Please click on the same and follow the process. Once You submit the request, We shall process your cancellation request within 24 hours of receiving such a request.

Changes to Content & Features & Language

We continuously enhance Our services by introducing new features, improving Our offerings, and occasionally retiring features that may no longer be effective. As a result, the availability of certain Content, Creative, products, or services within your subscription may change over time. The Inayat App is currently provided in the English language. We may, at Our sole discretion, make the Inayat App available in other languages in the future. However, We do not guarantee the availability of any additional languages.

Usage of Inayat App and Restrictions

You shall ensure that any information that You provide, including during registration, is true, accurate, complete and updated;
You confirm that Your photograph is a true and accurate representation of Yourself.
You will only use the Inayat App, Content or Creative for non-commercial and personal purposes;
You will not use the Inayat App or any Content provided thereof or any Creative for any purpose that is illegal, unlawful or prohibited by this Agreement;
You will not use the Content or Creative for unlawful, misleading, defamatory, obscene, or fraudulent purposes;
You will not sell, resell, redistribute, sublicense, or transfer any Content or Creative to third parties;
You will not copy, reproduce, alter, modify, create derivative works from the Inayat App or its Content/Creative beyond the intended use as per these Terms;
You will not confer any of Your rights to any third parties;
You shall not use automated tools like web crawlers, web robots, web scutters, ants, automatic indexers, bots, worms, and other such devices to extract Content or in connection with Your usage of the Inayat App;
You shall not use the Inayat App in any manner that could damage, disable, overburden, or impair any part of the Inayat App or interfere with any other party’s use of the Inayat App;
You shall not obtain or attempt to obtain any Content through any means not intentionally made available or provided for through the Inayat App;
You shall not post or transmit any worms, viruses, Trojans, or other harmful, disruptive, or destructive files, code, or programs to the Inayat App.
You shall use Your actual name and/or photograph on the Creative, and shall not falsely represent yourself as another person or representative of another person in the Creative;
You shall not use any information including but not limited to name, or photograph that belongs to another person and to which You do not have any right, in the Creative;
You shall not make any Creative that is defamatory, obscene, pornographic, paedophilic, invasive of another’s privacy, including bodily privacy, insulting or harassing on the basis of gender, libellous, racially or ethnically objectionable, relating or encouraging money laundering or gambling, or otherwise inconsistent with or contrary to the laws in force;
You shall not make any Creative that is harmful to child;
You shall not make any Creative that will infringe any patent, trademark, copyright, privacy, publicity rights or other proprietary rights of any third party;
You shall not make any Creative that threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign States, or public order, or causes incitement to the commission of any cognisable offence or prevents investigation of any offence or is insulting other nation;
You shall comply with the applicable laws on data protection and shall not use any personal identifiable information of any other person without their consent in the Creative.
You shall not remove or alter any watermarks, copyright notices, or ownership marks on the Content or Creatives.

Intermediary Status and No Liability

We are an intermediary under the Information Technology Act, 2000 and The Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 (“IT Rules”). These Terms are published in accordance with the provisions of Rule 3(1) of the IT Rules. Our responsibility for anything that happens on our Platform is strictly governed by the laws of the Republic of India and is limited to that extent. We do not have any control over the Creatives made by Users, but We expect all Users to comply with these Terms.

No Guarantee & Refund

We do not guarantee that the final output of the Creative will meet Your expectations in terms of design, colour accuracy, layout, or overall appearance. We shall not be liable for any dissatisfaction, perceived defects, or discrepancies in the Creative, and no refunds or claims shall be entertained on this basis. Subscription fees and purchases are non-refundable including for unused periods or partial months, except where required by law. Refund may only be provided in extreme cases of failure or error in payment due to technical issues/glitches with the third party payment gateway and for no other reason. If the Inayat App malfunctions or a purchase is defective, please contact Our support team for resolution at contact.inayat@quickcuts.ai.

Intellectual Property

Your use of the Inayat App and Content is, and at all times shall be, governed by and subject to the laws regarding copyright, trademark, patent, and trade secret ownership and use of intellectual property. We respect the intellectual property rights of others and do not hold any responsibility for any violations of any intellectual property rights by You. You shall be solely responsible for any violations of any laws and for any infringements of any intellectual property rights caused by Your use of the Inayat App or Content or Creative through Your device.

Ownership of the Inayat App & Content & Creative

All trademarks, brands and service marks of the Inayat App are Our sole property. In addition, We own and retain all the intellectual property rights to all the Content, templates, and design assets, and have requisite license to provide the Inayat App and Content to You. In addition, all intellectual property rights in the Creatives shall vest with Us upon their creation and shall remain Our intellectual property in perpetuity and worldwide. By virtue of agreeing to this Agreement with Us, You do not acquire any rights in Our intellectual property, except for as specifically set out in these Terms. Some Content may be sourced from third parties. We do not guarantee its availability or usage rights beyond the scope of the Inayat App.

Payment Gateway

You acknowledge and agree that payments made on the Inayat App are processed through a third-party payment gateway. Therefore, when You make a purchase, You may additionally enter into a separate contract with the respective third-party payment gateway. By using the payment services, You are subject to the terms and conditions, privacy policies, and other applicable policies of the respective payment gateway provider. We do not control or assume liability for the services provided by the payment gateway, including but not limited to payment processing errors, delays, or failures. It is Your responsibility to review and comply with the terms and conditions of the payment gateway provider before making any payment. By proceeding with the payment, You consent to sharing the necessary information required for payment processing with the payment gateway provider. In the event of any disputes or issues related to payment processing, You agree to contact the payment gateway provider directly for resolution. We are not liable for any losses, damages, or claims arising out of or in connection with Your use of the third-party payment gateway services.

Termination and Account Suspension

We may suspend, restrict or terminate Your account, access to Inayat App or any associated services at any time without notice to You under the following circumstances:

You breach or violate these Terms, Privacy Policy or any other applicable policies.
You fail to provide a valid photograph or submit misleading/incorrect information.
You fail to make timely payments towards your subscription fees, or any other paid features;
Your use of the Inayat App violates any applicable laws, regulations, or third-party rights, or involves fraudulent, abusive, or unethical; conduct;
Your use of the Inayat App creates legal, financial, reputational, or security risk to us, other users, or third parties;
You misuse, exploit, or manipulate the Inayat App’s Content, Creatives, subscription model, or services in any way contrary to the intended use;
We are required to do so by law (for example, where the access to and/or provision of Inayat App to You becomes, unlawful); or
We decide to discontinue, modify or replace the Inayat App or any of its features or services.

Consequences of Termination or Suspension

If Your account is suspended or terminated:

You will lose access to Your account and any purchased, created, or saved Content or Creative.
You will not be entitled to any refunds, credits, or reimbursements for unused portions of a subscription or purchased Content.
We may retain or delete any data associated with Your account, subject to applicable laws and our Privacy Policy.
You may be barred from re-registering for the Inayat App in the future.

Termination by You

You may request to terminate Your account at any time by sending an email contact.inayat@quickcuts.ai. with Your registered details. Upon termination:

Your access to the Inayat App and Content will cease immediately.
Any subscription fees already paid will not be refunded, except as required by applicable laws.
We may continue to retain certain information as per Our Privacy Policy and legal obligations.

Privacy Policy

Our Privacy Policy, available on the Inayat App, explains how We collect and use Your data. By using the Inayat App, You agree to Our data practices.

Disclaimer of Warranty and Liability

THE INAYAT APP, CREATIVES AND CONTENT ARE PROVIDED ON AN "AS IS" BASIS. WE OFFER NO WARRANTY, EXPLICIT OR IMPLIED, REGARDING ANY PART OF THE INAYAT APP, CREATIVES AND CONTENT, THE ACCURACY OF ANY INFORMATION, OR ANY RIGHTS OR LICENSES UNDER THIS AGREEMENT INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT REPRESENT OR WARRANT THAT THE INAYAT APP, CREATIVES AND CONTENT WILL MEET YOUR REQUIREMENTS OR THAT THEIR USE WILL BE UNINTERRUPTED, ERROR FREE OR FREE FROM SECUIRTY VULNERABILITIES. WE DO NOT WARRANT THAT THE INAYAT APP, CREATIVES OR CONTENT PROVIDED WILL BE SUITABLE FOR ANY SPECIFIC PURPOSE OR THAT IT DOES NOT INFRINGE THIRD-PARTY RIGHTS. WE SHALL NOT BE LIABLE TO YOU OR TO ANY OTHER PERSON OR ENTITY FOR ANY GENERAL, PUNITIVE, SPECIAL, INDIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES, BUSINESS OPPORTUNITIES, OR REPUTATIONAL HARM OR LOST PROFITS OR ANY OTHER DAMAGES, COSTS OR LOSSES ARISING OUT OF YOUR USE OF THE INAYAT APP, CREATIVES OR CONTENT. WE SHALL ALSO NOT BE LIABLE FOR ANY ISSUES ARISING FROM THIRD-PARTY SERVICES LINKED OR INTEGRATED INTO THE INAYAT APP.

Indemnity

You agree to indemnify, defend and hold harmless Us, and Our subsidiaries, affiliates and agents and their respective officers, directors, employees, successors and assigns from and against any claim, proceeding, loss, damage, liability, cost, demand or expense (including but not limited to attorney’s fees) of any kind arising out of: (i) Your access to or use of the Inayat App, Creatives or Content; (ii) any breach by You of Your obligations and/or restrictions under these Terms; (iii) Your violation of the rights of any third party, including any infringement of intellectual property, or of any privacy or consumer protection right; (iv) any violation of law or contractual obligation and any claims, demands, notices pursuant to such violation; (v) Your negligence or wilful misconduct.

Governing Law and Jurisdiction

Any dispute arising out of on in connection with these Terms shall be governed by the laws of India. The courts of Delhi shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms.

Changes to Terms

These Terms may be updated/revised by Us from time to time without any notice to You. Changes will be effective upon posting in the Inayat App. If You continue to use the Inayat App after any such updates/revision, it shall be construed as an acceptance of the modified Terms by You.

Survival of Obligations

Certain provisions of these Terms, including but not limited to intellectual property rights, disclaimers, limitations of liability, indemnification, and dispute resolution, shall survive termination of Your account.

Privacy Policy

These Terms constitute the entire understanding between QuickCuts and You concerning the subject matter hereof and supersedes all prior agreements and understandings between You and Us.

Refund Policy

QuickCuts Video Private Limited (hereinafter referred to as “QuickCuts”, “We”, “Us”, “Our”) offers subscriptions that allow Users of the Inayat App access to Content as defined in the Inayat Terms and Conditions of Use (“Terms”), available on the Inayat App, to make Creatives. This Subscription, Payment, and Refund Policy governs all monetary transactions through the Inayat App and is to be read in conjunction with the Terms and Privacy Policy.

Discounted Trial

Subscription Plans & Billing

After the Discounted Trial period (if applicable), or upon selecting a paid plan, You will be enrolled in a subscription-based model with recurring payments. We offer various subscription plans, including but not limited to monthly and yearly plans, which provide unlimited access to the Content and Creatives. The applicable subscription fee for each plan will be displayed to You at the time of purchase. The subscription fee will be charged automatically on a recurring basis (e.g., monthly or yearly) until cancelled by You. By subscribing, You authorize Us to charge the applicable fee using Your chosen payment method. If a payment fails, We may suspend or terminate Your access.

Subscription Plans and Validity

Monthly Plan: Valid for 30 days
Annual Plan: Valid for 365 days

Automatic Conversion to Paid Subscription

Unless You cancel before the end of the Discounted Trial period, Your Discounted Trial will automatically convert into a paid subscription, and the applicable subscription fee will be charged to Your selected payment method.

Automatic Renewal of Paid Subscription

Subscriptions shall auto - renew unless cancelled at least 24 hours before the end of the current period.

Cancellation

You may cancel Your subscription at any time by navigating to the ‘Profile’ section on the Inayat App and then clicking on the ‘Premier Membership’ option. Please click on the same and follow the process. Once You submit the request, We shall process Your cancellation request within 24 hours of receiving such request.

No refund

Payments made prior to cancellation by the Auto – pay mode are non - refundable.
On cancellation during the validity of a subscription period, subscription benefits remain available until the end of that subscription period.

Taxes

All subscription fees are inclusive of applicable Indian Goods and Services Tax (GST), unless otherwise stated.

Governing Law and Jurisdiction

This policy is governed by the laws of India.
The courts of New Delhi, India shall have exclusive jurisdiction over any disputes arising out of or related to this policy.
